SumNail Terms of Service

Effective date: March 8, 2026

These Terms of Service ("Terms") govern your access to and use of the SumNail website, applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. About SumNail

SumNail is an online software service that helps users generate thumbnail and cover image concepts, visual assets, and related creative outputs for video publishing and content marketing workflows.

SumNail provides digital software functionality only. We do not sell physical goods, facilitate user-to-user payments, or operate a marketplace for third-party sellers.

2. Eligibility

You may use the Services only if you can form a binding contract with SumNail and your use of the Services is not prohibited by applicable law.

You must not use the Services:

  • for unlawful, fraudulent, or deceptive activity
  • to create or distribute infringing, defamatory, hateful, violent, or sexually explicit material
  • to violate intellectual property, privacy, publicity, or other rights
  • to interfere with, probe, or disrupt the Services or related systems
  • to reverse engineer, scrape at scale, or abuse the Services beyond permitted use

3. Accounts and Access

You may need to create an account to access some features.

You are responsible for:

  • providing accurate account information
  • keeping your login credentials secure
  • all activity under your account, whether or not authorized by you

You must promptly notify us if you believe your account has been compromised.

We may suspend or terminate accounts that violate these Terms, create security risk, or expose SumNail or other users to legal or operational harm.

4. User Inputs and Generated Outputs

You may submit text, files, videos, images, prompts, metadata, and other content to the Services ("Inputs"). The Services may generate images, text, layout suggestions, titles, or other materials based on your Inputs ("Outputs").

As between you and SumNail, and subject to applicable law:

  • you retain your rights in your Inputs
  • you are responsible for ensuring you have the necessary rights to submit your Inputs
  • you may use the Outputs generated for your account, subject to these Terms and applicable law

You understand and agree that:

  • Outputs may not be unique
  • similar or identical outputs may be generated for other users
  • you are responsible for reviewing Outputs before publishing or using them commercially
  • SumNail does not guarantee that Outputs are accurate, non-infringing, merchantable, or fit for a particular purpose

5. License to Operate the Services

You grant SumNail a non-exclusive, worldwide, limited license to host, store, reproduce, transmit, process, adapt, and display your Inputs only as necessary to operate, secure, improve, and provide the Services to you.

We do not claim ownership of your Inputs solely because you use the Services.

6. Acceptable Use and Safety

You must not use SumNail to generate, upload, request, or distribute content involving:

  • child sexual abuse material or exploitation
  • non-consensual sexual content or nudity
  • graphic violence or violent extremism
  • hate speech, harassment, or threats
  • fraud, phishing, impersonation, or scams
  • malware, unauthorized intrusion, or exploit development
  • unlawful political manipulation or disinformation
  • infringement of copyright, trademark, or publicity rights

We may use automated systems, manual review, and abuse prevention controls to detect violations and protect the Services.

Safety Enforcement and NSFW Filtering Disclosure

To protect users and comply with legal and payment network requirements:

  • we may run automated content safety checks on user Inputs and generated Outputs, including NSFW detection for explicit sexual content and nudity
  • we may block generation, withhold outputs, or require additional verification when content is flagged as prohibited or high-risk
  • repeated or severe violations may result in account restrictions, suspension, or termination

If you believe content was incorrectly blocked, you may contact support@sumnail.com for review.

7. Plans, Credits, Payments, and Cancellations

Some features of the Services may require payment. Pricing, billing terms, and plan details will be presented at checkout or within the applicable account settings.

If SumNail offers subscriptions, you authorize recurring charges until cancellation, subject to the billing terms shown at purchase.

If SumNail offers credits or usage bundles:

  • credits are service entitlements for use within SumNail only
  • credits have no cash value
  • credits are not a bank account, stored-value wallet, or payment instrument
  • credits are non-transferable except where we expressly permit otherwise

Refund Policy

Unless otherwise required by applicable law, payments for credits, bundles, and subscriptions are generally non-refundable after successful delivery.

If you believe there was a duplicate charge, technical delivery failure, unauthorized transaction, or billing error, you may submit a refund request to support@sumnail.com with your order ID and account email.

We will review refund requests and provide an initial response within 3 business days.

If approved, refunds are issued to the original payment method by our payment provider. Final settlement timing depends on your bank or card issuer.

Chargebacks or payment disputes may lead to temporary account restrictions while the case is under review.

You remain responsible for any applicable taxes, duties, levies, or government charges, except taxes based on SumNail's net income.

We may change pricing, plans, or features from time to time. Changes will apply prospectively.

8. Intellectual Property

The Services, including our software, branding, interfaces, workflows, site design, and related materials, are owned by SumNail or its licensors and are protected by applicable intellectual property laws.

Except for the limited right to use the Services under these Terms, no rights are granted to you by implication, estoppel, or otherwise.

You may not:

  • copy, modify, distribute, sell, sublicense, or lease any part of the Services
  • remove proprietary notices
  • use our name, logo, or brand assets without permission

9. Third-Party Services

The Services may rely on third-party infrastructure, cloud providers, payment processors, authentication providers, and AI model providers.

We are not responsible for third-party services that we do not control. Your use of third-party services may also be subject to their own terms and policies.

AI Model and Independent Product Disclosure

  • SumNail may use third-party AI model providers (for example, Google Gemini) to process requests and generate outputs. The exact model provider can change over time.
  • SumNail is an independently developed and operated product.
  • SumNail is not affiliated with, endorsed by, or sponsored by Google, YouTube, TikTok, Bilibili, Xiaohongshu, or other referenced platforms.
  • Any third-party names, logos, and trademarks are the property of their respective owners and are used only for compatibility, descriptive, or reference purposes.

10. Service Availability and Changes

We may modify, suspend, or discontinue any part of the Services at any time, including features, limits, integrations, or supported regions.

We do not guarantee uninterrupted availability or error-free operation.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. SUMNAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

WE DO NOT GUARANTEE THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR USE CASE
  • OUTPUTS WILL NOT INFRINGE THIRD-PARTY RIGHTS
  • ANY CONTENT REVIEW OR SAFETY CONTROL WILL CATCH ALL PROHIBITED MATERIAL

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMNAIL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SUMNAIL FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO SUMNAIL FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE
  • USD 100

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless SumNail and its affiliates, officers, employees, agents, suppliers, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to:

  • your Inputs
  • your Outputs as used by you
  • your use of the Services
  • your violation of these Terms
  • your violation of applicable law or third-party rights

14. Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services immediately if:

  • you breach these Terms
  • required by law
  • your use creates risk to SumNail, other users, or third parties

Sections that by their nature should survive termination will survive, including provisions on payments owed, disclaimers, liability limits, indemnity, and dispute terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction where SumNail operates, excluding conflict of laws rules, unless applicable law requires otherwise.

Any dispute arising from or relating to these Terms or the Services will be resolved in the courts with competent jurisdiction where SumNail operates, unless applicable law requires otherwise.

If you are a consumer residing in a jurisdiction with mandatory consumer protection laws, nothing in these Terms limits any non-waivable rights you may have under those laws.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on our website and update the effective date above. Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.
